Effective date: October 25, 2026. Version: 1.0.
This agreement is between Nexus402 (Nexus402) and you as a creator who publishes tools on Nexus402. It supplements the Terms of Service, which also apply. If they conflict, this agreement controls for creators.
1. Becoming a creator
You must be 18 or older and legally able to contract, and have the authority to bind any business you represent. You claim a handle, which becomes the first part of your tools' routing names (handle/mcp-name/tool). Handles may not impersonate others or infringe trademarks. We may reclaim or refuse handles for impersonation or abuse. You must give accurate information and complete the verification described in section 7.
2. Publishing tools
You publish versions of tools that point to an HTTPS endpoint you control. For each version you set a price in US dollars. A published version's price and endpoint are immutable. To change either you publish a new version. You may retire a version; a retired version stops being callable. You must keep retired and live endpoints from serving unrelated or harmful content.
You warrant that for every tool: you have all rights needed to offer it; it does not infringe or misappropriate any right; its description, schema and examples are accurate and not misleading; it complies with law and with the Acceptable Use Policy; it contains no malware and does not attempt to extract credentials or data beyond what the tool needs; and it performs as described.
You grant Nexus402 a worldwide, non-exclusive licence to list, route calls to, cache metadata of, display the name, description, schema and price of, and promote your tools in connection with the Services.
You keep ownership of your tools.
3. Endpoint obligations and security
Your endpoint must use HTTPS and a valid certificate, respond within the limits in the documentation, and return accurate status codes (a success status only for a successful response). You should verify the gateway's request signature as described in the documentation, and you must not rely on a signature as proof that the caller has funds or authority beyond what the documentation states. You must protect your endpoint, keep software patched, and tell us at security@nexus402.dev within 72 hours of learning of a security incident that affects data received through Nexus402.
4. Data you receive: Creator Data Terms
You will receive requests that may contain personal data, confidential information and secrets sent by developers. In handling them you agree to the following.
- Use what you receive only to perform the tool call requested and to provide support for that call.
- Do not sell, share for advertising, combine with other data, profile, or use it to train or improve models or products, unless the developer has separately given you permission in writing.
- Do not retain request or response content longer than needed to perform the call and to meet legal duties. Do not log full request bodies or credentials. Delete content promptly on request.
- Apply appropriate technical and organisational security, including encryption in transit, access controls and least privilege.
- Disclose it only to subprocessors you need to run the tool, bound by equivalent obligations, and be responsible for them.
- Comply with data protection laws that apply to you. Where you decide why and how data is processed you are an independent controller for that processing. Where you process only for the developer, you are a processor for that developer and will sign the developer's reasonable data processing terms on request.
- Assist developers with data subject requests, and notify us and the affected developer without undue delay and within 72 hours of a personal data breach.
- Do not attempt to identify developers or their end users beyond what the request needs.
- Treat every Authorization or credential header you receive as the developer's secret for that call only.
Breach of this section is a material breach and may lead to immediate suspension.
5. Revenue share
For each completed call at your published price, Nexus402 retains 10 percent, rounded down to the nearest micro-USD, and credits the rest to your earnings. Earnings are measured in micro-USD and are credited in periodic batches. A call counts as completed under the charging rules in section 7 of the Terms of Service. If a charge is reversed under those rules, no earnings arise for it. We may set off against earnings any amount you owe us.
Earnings are our payment obligation to you for the licence in section 2. They are not a deposit, are not held in trust, and bear no interest.
6. Holds, reserves and reversals
Customers may dispute card payments up to several months after purchase. Earnings are therefore subject to a hold of 7 days before they become eligible for withdrawal and to reversal for 180 days from the call for any of the following: the underlying payment was refunded, disputed, charged back or reversed; the call was part of fraud, abuse or a breach of the Acceptable Use Policy; the call was wrongly charged because of an error; or a court, regulator or payment partner requires it. We may reverse earnings not yet withdrawn, offset against future earnings, and require repayment of amounts already paid. If you are unable to repay when asked, the amount is a debt you owe us. We may also hold back a reasonable reserve if your account shows elevated risk, and we will tell you why.
7. Verification, payouts and tax
To be paid you must complete identity and payout onboarding with our payment partner Stripe and accept Stripe's terms for connected accounts. You must provide accurate tax information, including a Form W-9 if you are a United States person and a Form W-8BEN or W-8BEN-E if you are not, and keep it current. Until you do, we may withhold payouts.
Withdrawals are requested in the console. The minimum withdrawal is 5 US dollars. We may require an email confirmation code before changing your payout destination or paying out. We pay in US dollars; your bank or Stripe may convert currency and charge fees, which you bear.
Payouts are available only in the countries and with the payout methods we support, which we list at https://www.nexus402.dev/docs/creators/payouts/. We may add or remove countries and methods. If your country is not supported, or stops being supported, your earnings remain yours subject to this agreement but we may be unable to pay them out until we can; we will notify you.
You are solely responsible for your taxes. We may be required by law to withhold tax from payments to you (for example United States backup withholding or withholding on United States source income paid to foreign persons) and to report payments to tax authorities. We will withhold and report as required and will not gross up payments for withholding. We do not give tax advice.
8. Sanctions and compliance
You represent that you and your beneficial owners are not subject to sanctions, are not in or ordinarily resident in a comprehensively sanctioned place, and are not on a restricted-party list. We may refuse or hold any payout to comply with law or a payment partner's requirements.
9. Support and availability
You are responsible for support for your tools. We may suspend routing to an endpoint that is repeatedly failing, slow, insecure or abusive, and we may retire versions that violate our policies.
10. Prohibited conduct
You must not: manipulate calls or earnings (for example by calling your own tools to generate fees using stolen, borrowed or fraudulent payment methods); mislead developers about what a tool does or what it does with their data; collect credentials; or breach the Acceptable Use Policy.
11. Changes, suspension and termination
We may change this agreement and the revenue share with at least 30 days' notice by email and in the console. If you do not agree, you may retire your tools and close your account before the change takes effect. We may suspend or terminate you as described in section 15 of the Terms of Service, and will give reasons and an opportunity to respond. On termination, and after the hold, reversal windows and any compliance checks have ended, we will pay remaining eligible earnings, less amounts you owe us. You may terminate at any time by retiring your tools and closing your account. If your account is inactive, earnings may become unclaimed property (see the Payments, Wallet and Refund Terms).
12. Liability and indemnity
Section 16 to 18 of the Terms of Service apply. In addition, you will defend and indemnify Nexus402 against claims, losses and costs arising from your tools, the content they return, your handling of data you receive, and your breach of this agreement.
13. Relationship
You are an independent contractor. Nothing creates employment, partnership, agency or joint venture. You are responsible for your own staff, equipment and costs. There is no exclusivity.
