    Effective date: October 25, 2026. Version: 1.0.

    1. Agreement

These Terms of Service (the Terms) are a contract between you and Nexus402, a demonstration site operated from Nepal, of Kathmandu, Nepal (Nexus402, we, us). They govern your access to and use of the Nexus402 website at https://www.nexus402.dev, the account console, the API gateway, the documentation and related services (the Services). The following documents are part of these Terms: the Payments, Wallet and Refund Terms, the Acceptable Use Policy, the Privacy Policy, and, if you publish tools, the Creator Agreement. If you process personal data through the Services, the Data Processing Addendum also applies. If a document conflicts with these Terms, the more specific document controls for its subject matter.

By ticking the agreement box when you sign up, creating an API key, adding funds or publishing a tool, you accept these Terms for yourself and, if you act for a company, for that company. If you do not agree, do not use the Services.

    2. Eligibility and business use

You must be at least 18 years old and able to form a binding contract. The Services are intended for business and professional use by developers and companies, not for personal, family or household purposes. You must not use the Services if you are located in, ordinarily resident in, or organised under the laws of a country or region subject to comprehensive sanctions, or if you appear on a restricted-party list (see section 13).

    3. Accounts and security

Sign-in is through Google, GitHub or Apple. You must keep your sign-in provider account secure and give us accurate information. You are responsible for everything done with your account and your API keys. API keys are secrets. Do not embed them in public code or share them. Rotate a key immediately if you suspect exposure. We may revoke keys we believe are compromised. You must tell us promptly at security@nexus402.dev of any unauthorised use.

    4. The Services and the parties

Nexus402 operates a gateway that authenticates a request made with your API key, checks your balance and spend caps, deducts the published price of a tool call, forwards the request to the endpoint operated by the tool's creator, and streams the response back to you. There are three roles.

Developers use Credits to call tools. Creators publish tools and run the endpoints that serve them. Nexus402 operates the gateway, sells Credits and metered access, and pays creators a revenue share.

Creators are independent businesses or individuals. They are not our employees, agents or partners. We do not operate, inspect, test, endorse or guarantee any creator's tool, and we are not a party to anything a creator promises you outside these Terms.

    5. Nexus402 as seller of record

We sell Credits and metered access to tool calls to you in our own name. When you pay, the contract for that sale is with us. Creators are our suppliers: they license their tools for use through the Services and we pay them a revenue share. We are not your agent and we do not hold your money for transmission to any particular creator.

    6. Wallet and Credits

Credits are a prepaid right to use the Services. They are not money, a deposit, stored value held in trust for you, or an account at a bank. They earn no interest, are not insured by any government scheme, cannot be transferred to another user, and cannot be redeemed for cash, except where the law requires or as stated in the Payments, Wallet and Refund Terms. Credits are denominated in United States dollars. Limits on how much you may add apply and are described in the Payments, Wallet and Refund Terms. We may refuse, limit or reverse any top-up we suspect is fraudulent, unauthorised or unlawful.

    7. Calls, charging and failures

Prices are set by creators per published version and cannot change for that version. A price change requires a new version, and calls that name no version resolve to the latest published version. Prices are measured in micro-USD (one millionth of a dollar).

We deduct the price of a call before forwarding it. The following rules decide whether a call is charged.

    1. If your balance or a spend cap is insufficient, the call is refused and you are not charged.
    2. If we cannot record the charge, or cannot reach the creator's endpoint (name resolution, connection, security handshake or timeout) before any response arrives, we reverse the deduction.
    3. If the creator's endpoint returns an error status (anything other than 2xx) before response data begins streaming to you, we reverse the deduction.
    4. Once the creator's successful (2xx) response begins streaming back to you, the charge stands. This is true even if the stream later fails, is truncated, times out, is cancelled by you, or the content is wrong, late or unhelpful.

If you believe you were charged for a failed call, contact contact@nexus402.dev within 30 days with the correlation ID. We may, in our discretion, credit your wallet. This does not limit rights you have under mandatory law.

Spend caps are a safety feature. A cap protects you only if you set it. Each API key has a rolling 24-hour cap; a cap of zero turns the cap off. You are responsible for all calls made with your keys, including calls made by autonomous agents, scripts and third-party software acting under them.

    8. Fees and taxes

Fees are shown at checkout and in the console. Our platform fee is 10 percent of the price of each call, rounded down to the nearest micro-USD, and is taken from the creator's share, not added to your price. Fees are non-refundable except as stated in these Terms. Prices exclude taxes unless stated. You are responsible for taxes on your purchases other than taxes on our income. Where we are required to collect sales tax, VAT, GST or similar tax, we will add it at checkout and issue a receipt. If you are required to withhold tax, you must tell us before purchase.

    9. Third-party tools and your data

Each tool is provided by its creator. When you call a tool, the full request, including any arguments, content and headers you send, is delivered to the creator's endpoint. We do not review that content. Before you send personal data, confidential information, credentials or regulated data to a tool, you are responsible for deciding that the creator is trustworthy and that you have the right and a lawful basis to send it. Never send secrets you do not intend the creator to receive. Creators agree to limits on how they may use what they receive, but we cannot guarantee their compliance. Our role and yours regarding personal data are set out in the Privacy Policy and the Data Processing Addendum.

    10. Acceptable use

You must follow the Acceptable Use Policy. We may investigate suspected violations and cooperate with law enforcement.

    11. Intellectual property

We own the Services and everything in them other than your content and creators' content. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Services in accordance with these Terms. You keep your rights in what you send and receive. You grant us the limited right to process your requests and responses as needed to provide the Services. If you give us feedback, we may use it without restriction or payment.

    12. Pre-release features

Parts of the Services may be labelled pre-release, preview or beta. Payouts, particular payment methods and particular countries may be unavailable. We may change, limit or withdraw such features at any time. Test-mode transactions have no monetary value.

    13. Sanctions, export and compliance

You represent that you and anyone who controls you are not subject to sanctions, are not located in, resident in, or ordinarily controlled from Cuba, Iran, North Korea, Syria, the Crimea, Donetsk or Luhansk regions of Ukraine, or any other place we list for legal reasons, and are not on a restricted-party list of the United States, United Kingdom, European Union or United Nations. You will not use the Services to supply restricted goods or services to such places or persons, including information technology and cloud services to persons in Russia where prohibited. You will comply with export control and anti-corruption laws. We may block access based on IP address, billing country or other signals and may freeze funds where law requires.

    14. Privacy

Our Privacy Policy explains how we handle personal data. By using the Services you acknowledge it.

    15. Suspension and termination

You may close your account at any time from the console, subject to the Payments, Wallet and Refund Terms for any remaining balance. We may suspend or terminate your access immediately, without prior notice, if we reasonably believe you have breached these Terms or the Acceptable Use Policy in a serious way, your use creates security, fraud, sanctions or legal risk, a payment is disputed or reversed, or we are required to by law or by a payment partner. In other cases we will give you at least 30 days' notice of termination. Whenever we restrict, suspend or terminate you, we will tell you the reasons, unless law prevents us, and give you a way to respond through contact@nexus402.dev. We will consider your response in good faith and reverse the decision if it was mistaken. Sections that by their nature should survive will survive termination.

    16. Disclaimers

The Services are provided as is and as available. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, availability and uninterrupted or error-free operation. We make no promise about any tool, its output or its creator. Outputs of AI systems and tools may be wrong or harmful; you are responsible for how you use them. We do not provide legal, tax, financial or investment advice.

    17. Limitation of liability

To the fullest extent permitted by law: (a) we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, even if advised of the possibility; (b) we are not liable for anything done or not done by a creator or other third party; and (c) our total liability for all claims relating to the Services in any 12-month period is limited to the greater of the amount you paid us in that period and 100 US dollars. These limits do not apply to liability that cannot be limited by law, to fraud, or to your payment obligations. If you are a consumer under mandatory law where you live, nothing in these Terms removes rights you cannot waive.

    18. Indemnity

You will defend and indemnify us and our officers, employees and agents against claims, losses and costs (including reasonable legal fees) arising from your content, your requests and the data you send to tools, your use of the Services in breach of these Terms or law, and your keys being used by others through your failure to secure them.

    19. Governing law and disputes

These Terms are governed by the laws of Nepal, without regard to conflict-of-law rules. Before filing a claim, each party will try to resolve the dispute informally for 30 days after written notice to the other (our address for notices is mail@nexus402.dev).

Any dispute that is not resolved informally will be finally resolved by binding arbitration under the Arbitration Act, 2055 (1999) of Nepal by one arbitrator, seated in Kathmandu, Nepal, conducted in English. Judgment on the award may be entered in any court with jurisdiction. Either party may bring an individual claim in small claims court, and either party may ask a court for temporary or injunctive relief to protect intellectual property or confidential information.

To the extent allowed by law, disputes will be brought only on an individual basis, not as a plaintiff or class member in a class, collective or representative action. If many similar claims are filed, they may be batched and resolved in stages under the arbitration rules.

You may opt out of arbitration and the class waiver within 30 days after you first accept these Terms by emailing mail@nexus402.dev from the address linked to your account with the subject "Arbitration opt-out". If you opt out, or if this section is held unenforceable, disputes will be heard exclusively in the courts of Nepal, and you consent to their jurisdiction.

If you are a consumer in the European Union, the United Kingdom or another place where mandatory law gives you the right to bring claims in your local courts or to rely on your local consumer law, this section does not remove those rights.

    20. Changes

We may update these Terms. For material changes we will give at least 30 days' notice by email and in the console before they take effect, and the updated version will show a new effective date. If you do not agree, you may close your account before the date. Continued use after the effective date means you accept. Urgent changes needed to comply with law or to address security may take effect sooner.

    21. General

These Terms and the documents they incorporate are the entire agreement between us on their subject. If a provision is unenforceable, the rest remains. Failure to enforce a right is not a waiver. You may not assign these Terms without our consent. We may assign them to an affiliate or to a successor of our business, including a successor that takes over the Services, on notice to you. We are not liable for delay or failure caused by events beyond our reasonable control. Notices to you may be sent to the email on your account or posted in the console. Notices to us go to mail@nexus402.dev. These Terms are in English; translations are for convenience.

    Effective date: October 25, 2026. Version: 1.0.

These terms supplement the Terms of Service and apply to Credits, top-ups, refunds, disputes and balances. Capitalised terms have the meaning in the Terms of Service.

    1. Payment processing

Payments are processed by Stripe, a third-party payment processor. We do not receive or store your card number. Stripe's terms and privacy notice apply to its processing. The payment methods available are those shown at checkout. We may require 3-D Secure or other authentication. The charge on your statement will appear as NEXUS402.

    2. Buying Credits

The credit amount you will receive and the total you will pay are shown before you confirm. A card processing fee is added on top of the Credits you buy and shown as its own line before you pay. The minimum purchase is 10 US dollars of Credits. To keep the Services within legal limits, the value associated with a wallet on any day (opening balance plus Credits added that day) may not exceed 2,000 US dollars, and we may apply other limits, delays or identity checks. Credits are added once Stripe confirms the payment, which can take a short time. Credits are valid for your use only.

    3. Using Credits

Credits are spent by tool calls under the charging rules in section 7 of the Terms of Service. A statement of charges is available in the console. For efficiency, charges may be shown as aggregated entries over short periods. If the balance is lower than a call's price the call is refused.

    4. What Credits are not

Credits are not a bank account or deposit, are not insured by any deposit insurance or compensation scheme, earn no interest, cannot be transferred or sold, and are not redeemable for cash except as stated in this document or required by law. We may hold the funds you pay with our payment processor and in our general accounts and are not required to keep them separate unless law requires.

    5. Refunds of unused Credits

If you purchased Credits by mistake, you may ask for a refund of unused Credits from a purchase made within the last 30 days by writing to contact@nexus402.dev. Approved refunds go to the original payment method and are reduced by any non-recoverable payment processing cost. Credits that have been spent on tool calls are not refundable, except as described in section 7 of the Terms of Service or where required by law. After 30 days, unused Credits are not refundable except if we close your account without cause, in which case we will refund the unused balance to the original payment method, or where law requires.

We may refuse a refund if we suspect fraud, abuse, a payment dispute, or that the refund would breach law.

    6. Disputes, chargebacks and reversals

If a payment is refunded, disputed, charged back or otherwise reversed (a Reversal), you authorise and agree that we may, without prior notice: freeze your wallet and keys; remove from your balance Credits up to the reversed amount; treat any shortfall, including amounts already spent on tool calls and any fees charged to us by our payment processor or card networks, as a debt you owe us; offset that debt against any current or future balance; refuse further purchases; and recover the debt by any lawful means including through a collection agency. Before disputing a charge with your card issuer, please contact contact@nexus402.dev. We can often resolve problems faster and without freezing your account. If you win a dispute after we have reversed Credits, we will restore the corresponding Credits.

Tool calls already delivered and paid to creators are not reversed against creators unless the Creator Agreement allows it. Reversals do not affect your obligation to pay for calls already made.

    7. Dormant accounts and unclaimed property

If your account is inactive for a long time we will email you. Unused balances may be treated as unclaimed property under the laws of the place where you are located (or, if unknown, where we are organised) and may have to be reported and sent to a government unclaimed-property office, from which you can claim them. We do not charge dormancy fees.

    8. Closing your account

You may close your account at any time. Any remaining balance is handled under section 5. Closure does not cancel amounts you owe or Reversal rights.

    9. Taxes and invoices

Taxes are handled as in section 8 of the Terms of Service. Receipts are available in the console and from Stripe. For tax invoices with your tax identification number, contact contact@nexus402.dev before purchase.

    10. Errors

If you see a charge you do not recognise, contact contact@nexus402.dev within 30 days. We will investigate and correct errors.

    11. Creators' earnings

Payments to creators are governed by the Creator Agreement.

You must not publish, call or promote a tool that:

    1. Is illegal in the places it operates or is aimed at, or helps others commit crimes.

    8. Makes deceptive, fraudulent or misleading claims, impersonates a person or organisation, or is a pyramid, multi-level or get-rich-quick scheme.
    9. Collects, sells or processes personal data unlawfully, including scraping in breach of a site's terms or law, or processing sensitive data without a lawful basis and appropriate safeguards.
    10. Is designed to evade our controls or those of third parties, including spend caps, rate limits, sanctions controls, or content moderation.

    2A. Regulated use

Tools that give medical, legal, financial or safety-critical outputs must say clearly what they are and are not, and must not claim to be a licensed professional unless they are one. You may not use the Services for decisions that produce legal or similarly significant effects on people without appropriate human review and legal compliance.

    3. Prohibited conduct

    You must not:

    1. Use the Services in or for a place or person subject to sanctions, or to supply restricted goods or services.
    2. Use payment methods you do not own or are not authorised to use, test stolen cards, or open accounts to obtain Credits or earnings by fraud, including calling your own tools with fraudulent funds.
    3. Probe, scan or attack the Services or others' systems, overload them, bypass authentication or rate limits, or access data that is not yours.
    4. Share, sell or leak API keys, or use another person's keys.
    5. Interfere with the gateway's signature, billing or routing, or misreport the outcome of a call.
    6. Send secrets or regulated data to tools you have not vetted, or send data you have no right to send.
    7. Create multiple accounts to evade limits or enforcement.
    8. Use the Services to build a competing service by scraping the catalogue, or to resell access without our consent.
    9. Use the Services in a way that harms our reputation or our relationship with payment, hosting or other partners.

    4. Reporting and enforcement

Report violations to report@nexus402.dev or through the form at https://www.nexus402.dev/report. Include the tool routing name or key identifier, what you saw, and how to contact you. We review reports promptly and may: remove, disable or retire tools and versions; refuse calls; suspend or terminate accounts and keys; hold or reverse earnings and Credits; notify affected people; and report to authorities and partners. We will usually tell you why and give you a chance to respond, except where law, security or a partner requires immediate action. Copyright complaints follow the Copyright and IP Complaints policy.

    5. Changes

We may update this policy with notice as stated in the Terms of Service.

    Copyright and Intellectual Property Complaints

    Contents

    • 1. Notice of claimed copyright infringement
    • 2. Counter-notice
    • 3. Repeat infringers
    • 4. Trademarks and other rights
    • 5. Misuse

    Effective date: October 25, 2026. Version: 1.0.

We respect intellectual property rights and respond to notices that a tool listing, name, description, schema or other material on Nexus402 infringes them. We do not review the content that creators' endpoints return.

    1. Notice of claimed copyright infringement

Send a written notice to our designated agent: Nexus402 Copyright Agent, Kathmandu, Nepal, report@nexus402.dev. Include: your physical or electronic signature; identification of the copyrighted work; identification of the material and its location (the tool routing name and URL); your contact details; a statement that you have a good-faith belief the use is not authorised by the owner, its agent or the law; and a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorised to act. We may forward the notice to the creator and may remove or disable the material.

    2. Counter-notice

If you believe material was removed by mistake, send a counter-notice to the same agent with: your signature; identification of the removed material and where it appeared; a statement under penalty of perjury that you believe in good faith it was removed by mistake or misidentification; your name, address and phone number; and consent to the jurisdiction of the federal court for your address (or, outside the United States, any court where we may be found) and to accept service from the complainant. Unless the complainant tells us within 10 business days that it has filed court action, we may restore the material in 10 to 14 business days.

    3. Repeat infringers

We will terminate the accounts of creators who are repeat infringers in appropriate circumstances.

    4. Trademarks and other rights

Send complaints about trademarks, handles, personality or privacy rights, or other claims of illegal content to mail@nexus402.dev with: who you are, the right and why it is infringed, the exact location of the material, why you believe it is unlawful, and a statement that your notice is accurate. We will review it, tell the creator and you what we decide and why, and offer a way to appeal.

    5. Misuse

Knowingly false notices can lead to liability and to us ignoring future notices from you.
